Terms and Conditions

Windfeld Jensen Co. develops software, SaaS products, automation, internal platforms, integrations, and digital solutions for businesses.

All solutions are developed based on the client's needs and concrete workflows.

All initial conversations, meetings, and project assessments are generally without obligation.

A quote is not binding for the client until it is accepted in writing.

Windfeld Jensen Co. does not begin development work without the client's approval.

Because every project is different, we do not publish fixed prices on the website.

Prices are determined based on:

• Project scope
• Complexity
• Integrations
• Infrastructure
• Time required
• Ongoing support needs

All prices are agreed with the client before the project begins.

There are no surprise invoices for work that has not been approved.

Software projects often evolve along the way.

If the client wants changes, new features, or extensions after the project has started, these are assessed separately.

Any additional costs are always approved with the client before the work is carried out.

Windfeld Jensen Co. strives to deliver projects within the agreed timeframes.

Delivery times depend among other things on:

• Project size
• Client feedback
• Access to necessary systems
• Third-party providers

Delays on the client's side or from external providers may affect the project timeline.

As a general rule, the client owns the solution that has been developed and paid for.

This includes:

• Source code
• Documentation
• Design files
• Project materials

Unless otherwise agreed in writing.

Windfeld Jensen Co. reserves the right to reuse general technical components, frameworks, libraries, and experience developed across projects.

Clients are not required to use Windfeld Jensen Co. for hosting, databases, or operations.

We can:

• Develop the solution
• Transfer source code and project materials
• Help with setup on the client's own systems

The choice of hosting and operating environment belongs to the client.

Some projects use external services such as:

• Cloud platforms
• APIs
• Payment solutions
• Analytics tools
• Email services

Any costs for these services are borne by the client, unless otherwise agreed.

Windfeld Jensen Co. is not responsible for outages or changes at third-party providers.

After delivery, the client can choose to:

• Operate the solution themselves
• Enter into a support agreement
• Enter into a maintenance agreement

Ongoing support and further development are not included in the project price unless stated in the agreement.

All information, documents, ideas, and business details are treated confidentially.

Windfeld Jensen Co. does not share client data or business information with third parties without consent, unless required by law.

Windfeld Jensen Co. cannot be held liable for:

• Lost revenue
• Indirect losses
• Consequential damages
• Operational losses
• Data loss caused by third parties

The client is responsible for their own backups and business-critical data, unless otherwise agreed.

Windfeld Jensen Co. cannot be held liable for delays or failure to deliver due to circumstances beyond our reasonable control.

This includes among other things:

• Power outages
• Natural disasters
• War
• Cyber attacks
• Supplier failure
• Internet outages

Any disputes will be sought resolved through dialogue.

If this is not possible, the dispute shall be settled under Danish law by the Danish courts.

To deliver projects efficiently, the client is expected to:

• Provide necessary information and materials.
• Respond to questions and approvals within a reasonable time.
• Ensure necessary rights to content, images, and materials are in place.
• Inform us of relevant requirements, systems, or limitations.

Delays in delivering materials or approvals may affect the project timeline.

The client guarantees that all material provided to Windfeld Jensen Co. may lawfully be used.

This includes among other things:

• Texts
• Images
• Videos
• Documents
• Logos
• Trademarks

Windfeld Jensen Co. cannot be held liable for infringement of third-party rights in material provided by the client.

Unless otherwise agreed in writing, the client is responsible for their own backups.

If Windfeld Jensen Co. hosts or administers the solution, reasonable security measures are taken, but no guarantee is given against data loss, cyber attacks, or technical errors.

After delivery, a reasonable period is offered to identify errors, defects, or issues related to the work delivered.

Issues caused by:

• Later changes made by the client
• Third-party systems
• New browser or platform updates
• External integrations

are not considered part of the original delivery.

Both parties may end the collaboration with written notice.

Upon termination, the client is invoiced for work performed up to the termination date.

All materials the client has paid for are transferred in accordance with the agreement entered into.

Windfeld Jensen Co. reserves the right to mention the client as a reference and show general descriptions of the project in its portfolio, unless otherwise agreed in writing.

Confidential information, source code, and internal data are never published without the client's consent.

Windfeld Jensen Co. may update these terms on an ongoing basis.

The latest version will always be available on the website.

Material changes do not affect existing agreements without separate acceptance.
